OFFICIAL RULES “Spring Pick ‘Em Classic” Handicapping Contest No Purchase Necessary

1. Colonial Downs Group, LLC d/b/a Rosie’s Gaming Emporium®, VA-Horseplay®, and Rosie’s Game RoomTM (“Colonial Downs Group”) is conducting a “Spring Pick ‘Em Classic” handicapping contest (the “Promotion”) consisting of eight (8) weekly handicapping contests (“Weekly Contest(s)”) and a championship round handicapping contest (“Championship Round”) on the following Saturdays in 2023 (“Contest Days”):

a. Weekly Contests:
i April 22 and 29;
ii May 13 and 27; and
iii June 3, 10, 17, and 24; and
b. Championship Round: July 1.

The Promotion will be conducted at the following eight (8) Rosie’s Gaming Emporium, VA-Horseplay, and Rosie’s Game Room locations in the Commonwealth of Virginia (“Locations”):

d. Rosie’s Vinton (1135 Vinyard Road)
e. Rosie’s Richmond (6807 Midlothian Turnpike)
f. Rosie’s Hampton (1996 Power Plant Parkway)
g. Rosie’s Dumfries (18069-E Triangle Shopping Plaza)
h. Rosie’s Game Room Collinsville (2360 Virginia Avenue)
i. Breakers Sports Grille OTB, Henrico (TJ Maxx Shopping Center, 9127 W. Broad St.), and
j. Buckets Bar & Grill OTB, Chesapeake (228 North Battlefield Blvd.).

By participating in the Promotion, each Entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Colonial Downs Group, which shall be final and binding in all respects.
Who Can Enter

2. The Promotion is open to legal US residents who are at least twenty-one (21) years of age and that complete and submit an Entry Form (defined below) while physically present at a Location on a Contest Day.

3. The following persons are ineligible to enter and/or to win the Promotion:

a. Employees of Colonial Downs Group, their respective parent companies, affiliates, subsidiaries, advertising and promotion agencies and other coordinating agencies with this Promotion are ineligible (this includes their respective directors, officers, and key persons).

b. Immediate family members and members of the household of Colonial Downs Group employees. Immediate family is defined as spouse, parents, children, siblings, and their respective spouses. Household is defined as living in the same residence as one or more of the above-mentioned individuals.

c. Virginia Racing Commission licensees in calendar years 2022 and 2023, and employees of the establishments where Rosie’s Games Room and VA-Horseplay’s operate, i.e., Breakers Sports Grill and Bucket’s Bar and Grill.

d. Individuals that have been convicted of a felony or any crime of moral turpitude or are prohibited/excluded from gambling in any state or jurisdiction.

How to Enter & How to Win

4. To enter the Promotion, visit any Location on a designated Contest Day during that Location’s normal business hours and completely fill out and submit a free handicapping contest entry form (“Entry Form”) to enter any Weekly Contest or the Championship Round, as applicable. Entry Forms must be submitted prior to the time designated by Colonial Downs Group as the deadline for submission of entries on that Contest Day (“Submission Deadline”). Completed Entry Forms must be submitted to designated staff at the applicable Location prior to the Submission Deadline to be entered into the Promotion. No late Entries will be accepted.
a. Each Entry Form that is completed and submitted in accordance with these Official Rules and any additional instructions from Colonial Downs Group (including, without limitation, instructions on the Entry Form) shall be referred to in these Official Rules as an “Entry”.
b. The eligible individual that completes and submits such Entry Form shall be referred to in these Official Rules as an “Entrant.”

Limit one (1) Entry per person per Weekly Contest. Limit one (1) Entry per Weekly Grand Prize in the Championship Round

5. To complete the Entry Form, select a single horse (“Selected Horse”) in each of the six (6) races included in the Weekly Contest or the Championship Round, as applicable, (“Contest Races”) by writing the program number of the Selected Horse (i.e. the number that appears alongside the name of the Selected Horse in the official betting program for the Contest Race) on the Entry Form in the space provided for that Contest Race.
a. Entry must be made by the Entrant, only at one of the Locations. Entries made by any other individual or any entity, will be declared invalid and disqualified for this Promotion. Name and contact information must be written legibly on the Entry Form.
b. The Contest Races and the Submission Deadline for each Weekly Contest and the Championship Round will be posted at the Locations and www.colonialdowns.com/pick-em-classic-2023 at least forty-eight (48) hours prior to the Submission Deadline occurring. The Contest Races and the Submission Deadline will be determined by Colonial Downs Group in its sole discretion. The Submission Deadline must occur prior to the earliest post-time of the Contest Races for that Weekly Contest.
c. The Entry Form will be made available at the Locations on each respective Contest Day.
d. In the event a Selected Horse is scratched, the Selected Horse shall be changed to and replaced with the post-time favorite with the lowest pari-mutuel odds as set forth on the official Equibase chart for the Contest Race (“Equibase Chart”, accessible at https://www.equibase.com/static/chart/pdf/index.html?SAP=TN).
e. In the event an Entrant does not make a selection for a Contest Race, there shall be no Selected Horse for that Entry for that Contest Race and that Entrant will receive a score of $0 for that Contest Race.
f. Entries that are illegible, inaccurate, or incorrect in the reasonable discretion of Colonial Downs Group will not be accepted, there shall be no Selected Horse for that Entry for the corresponding Contest Race. Entrants will receive a score of $0 for the Contest Race corresponding to any selections on their Entry Form that are not accepted. Examples of inaccurate or incorrect selections include, without limitation, selecting more than one horse for a Contest Race, selecting a program number that is not included in the entries for a Contest Race, and writing the Selected Horse’s odds instead of the program number.

6. Entries for each Weekly Contest and the Championship Round, as applicable, will be ranked based on the total pari-mutuel payoffs for a hypothetical two dollar ($2.00) win wager and a hypothetical two dollar ($2.00) place wager on each Selected Horse designated on the Entry Form for that Weekly Contest or the Championship Round, as applicable (“Contest Wagers”). The total points for an Entry in a Weekly Contest or the Championship Round, as applicable, will be equal to the total sum of the pari-mutuel payoffs for the Contest Wagers as determined using the official results and corresponding pari-mutuel payoffs as designated on the Equibase Chart for the Contest Race (“Bankroll”). Bankrolls are not cumulative and shall only include the pari-mutuel payoffs for Contest Wagers corresponding to the Weekly Contest or Championship Round, as applicable, for which the Bankroll is being calculated. Entrants are not entitled to payment or receive of any kind as a result of the Contest Wagers or the calculation of Bankroll except as expressly provided in these Official Rules with respect to prizes awarded.

7. The following prizes will be awarded for each Weekly Contest (“Weekly Prizes”):
a. Eight (8) $100 wagering vouchers (each a “Weekly 1st Prize”);
b. Eight (8) $40 wagering vouchers (each a “Weekly 2nd Prize”);
c. Eight (8) $20 wagering vouchers (each a “Weekly 3rd Prize”); and
d. One (1) $500 wagering voucher (each a “Weekly Grand Prize”).

A total of sixty-four (64) Weekly 1st Prizes, sixty-four (64) Weekly 2nd Prizes, sixty-four (64) Weekly 3rd Prizes, and eight (8) Weekly Grand Prizes are available under the Promotion. Approximate value of each Weekly Prize is the dollar amount of the wagering voucher for that Weekly Prize.

8. Weekly Prize winners will be determined as follows:
a. One (1) Weekly 1st Prize will be awarded to the Entrant at each Location that has the highest Bankroll for the applicable Weekly Contest among all Entrants that submitted Entry Forms at that Location for that Weekly Contest;
b. One (1) Weekly 2nd Prize will be awarded to the Entrant at each Location that has the second highest Bankroll for the applicable Weekly Contest among all Entrants that submitted Entry Forms at that Location for that Weekly Contest;
c. One (1) Weekly 3rd Prize will be awarded to the Entrant at each Location that has the third highest Bankroll for the applicable Weekly Contest among all Entrants that submitted Entry Forms at that Location for that Weekly Contest; and
d. One (1) Weekly Grand Prize will be awarded to the Entrant that has the highest Bankroll for the applicable Weekly Contest among all Entrants that submitted Entry Forms at any Location for that Weekly Contest.

Limit one (1) Weekly Prize per person per Contest Day, excluding Weekly Grand Prizes. Limit one (1) Weekly Grand Prize per person per Contest Day.

9. In the event of a tie between two or more Entrants for any Weekly Prize, the tie will be broken as follows: 1st tiebreaker: most Selected Horses for that Weekly Contest that finish in 1st place in the Contest Races; 2nd tiebreaker: most Selected Horses for that Weekly Contest that finish in 2nd place in the Contest Races; and 3rd tiebreaker: most Selected Horses for that Weekly Contest that finish in 3rd place in the Contest Races. If after the 3rd tiebreaker described above, there are still two or more Entrants tied for a Weekly Prize, the combined total of the applicable Weekly Prizes for which such Entrants are tied will be split equally between the tied Entrants. For example, if two Entrants tie for a Weekly 2nd Prize and remain tied after all three tiebreakers described above are exhausted, the Weekly 2nd Prize ($40 wagering voucher) and Weekly 3rd Prize ($20 wagering voucher) will be combined and divided equally among the tied Entrants so that each such Entrant receives a $60 wagering voucher.

10. Participation in the Championship Round is open only to the winners of the Weekly Grand Prizes. Entrants that qualify for the Championship Round will be permitted one (1) Entry per Weekly Grand Prize won by such Entrant. Entry Forms for the Championship Round may be completed and submitted at any Location on Contest Day July 1.

11. One (1) Grand Prize and one (1) Runner-Up Prize will be awarded for the Championship Round (“Championship Prizes”).

Limit one (1) Championship Prize per person.

12. The grand prize for the Championship Round (“Grand Prize”) is a Kentucky Derby 150 package consisting of two (2) tickets to Kentucky Oaks 150 on Friday, May 3, 2024, and Kentucky Derby 150 on Saturday, May 4, 2024; a three (3)-night hotel stay; and a $1,000 travel voucher. Approximate value of the Grand Prize package is $7,000. The Grand Prize will be awarded to the Entrant that has the highest Bankroll for the Championship Round among all Entrants in the Championship Round.

13. The runner-up prize for the Championship Round (“Runner-Up Prize”) is a “Colonial Downs Day at the Races” package for four (4) to be used on any day of the 2023 Colonial Downs live race meeting with the exceptions of Opening Day (July 13, 2023), Arlington Million® Day (Aug. 12, 2023), and Virginia Derby® Day (Sep. 9, 2023), which includes lunch for 4, a program, a visit to the paddock, a winner’s circle photo, a trip to the starting gate, and a meet and greet with a jockey. Approximate value of the Runner-Up Prize package is $200.00. The Runner-Up Prize will be awarded to the Entrant that has the second highest Bankroll for the Championship Round among all Entrants in the Championship Round.

14. In the event of a tie between two or more Entrants for any Championship Prize, the tie will be broken as follows: 1st tiebreaker: most Selected Horses for the Championship Round that finish in 1st place in the Contest Races; 2nd tiebreaker: most Selected Horses for the Championship Round that finish in 2nd place in the Contest Races; 3rd tiebreaker: most Selected Horses that finish in 3rdplace in the Contest Races; and 4th tiebreaker: the Entrant who had the largest Bankroll in the Weekly Contest in which such Entrant won the Weekly Grand Prize (i.e., the Bankroll in which the Entrant was the $500 weekly winner.) If after the 4th tiebreaker described above, there are still two or more Entrants tied for a Championship Prize, the combined total value of the Championship Prize(s) for which the Entrants are tied will be split equally between the tied Entrants. For example, if two Entrants tie for the Runner-Up Prize and remain tied after all four tiebreakers described above are exhausted, the Runner-Up Prize will not be awarded but instead the total approximate value of the Runner-Up Prize will be paid in equal parts to the tied Entrants. For further example, if two Entrants tie for the Grand Prize and remain tied after all four tiebreakers described above are exhausted, neither the Grand Prize nor the Runner-Up Prize will be awarded but instead the total approximate value of the Grand Prize and the Runner-Up Prize will be paid in equal parts to the tied Entrants.

15. Winners of Weekly Prizes will be declared by approximately 12:00 pm eastern time on the Monday following the corresponding Contest Day. Winners of Championship Prizes will be declared by approximately 12:00 pm eastern time on the Monday following the corresponding Contest Day. Winners will be contacted by e-mail and telephone using the contact information provided on their Entry Form. Claiming the prize won is the sole responsibility of the winner. In the event the winner cannot be contacted, the prize will result in forfeiture.

Other General Rules that Apply to this Promotion

16. In the event any race is cancelled after being designated as a Contest Race as provided in these Official Rules, the Contest Race will be removed and the Weekly Contest or Championship Round, as applicable, in which the Contest Race was included will be held using the remaining Contest Races.

17. Anything not covered in these Official Rules will be decided by Colonial Downs Group in its sole discretion.

18. In all cases, all decisions of Colonial Downs Group with respect to the Promotion and these Official Rules shall be final and binding.

19. Only one Entry per person, per Contest Day is permitted. Multiple entries by the same person on the same Contest Day will be disqualified.

20. Prizes are non-transferable and cannot be combined with any other offers.

21. A potential winner may be required to sign and return an Affidavit of Eligibility, a Liability Release, and (where imposing such condition is legal) a Publicity Release (collectively, “Prize Claim Documents”). In the event a potential winner is found to be ineligible to win a prize in this Promotion, becomes disqualified for any reason, fails or refuses to sign and return all Prize Claim Documents, and/or forfeits, the potential winner may be disqualified and an alternate winner will not be selected.

22. Winners are solely responsible for all applicable local, county, state and federal taxes on prizes, the reporting consequences thereof, and any other fees or costs associated with the applicable prize. Winners will be issued an IRS 1099 form if required for all prizes won in this Promotion.

23. Falsification of any information will result in disqualification and ineligibility.

24. This Promotion is subject to all applicable laws and regulations and is void where prohibited.

25. Colonial Downs Group is not responsible for any technical difficulties, technical malfunctions, incorrect or inaccurate Entry information, or errors, however caused, which may occur in the administration of the Promotion and/or the processing of any Entries.

26. These Official Rules cannot be modified or amended in any way except in a written document issued by a duly authorized representative of Colonial Downs.

27. Colonial Downs Group will resolve any and all disputes relating to this Promotion.

28. Colonial Downs Group reserves the right to cancel, change, extend, terminate, or modify this Promotion at any time.

29. Persons who have been excluded from Colonial Downs Group, or who have requested self-exclusion from a Location, or who are on an exclusion list in any state or jurisdiction are not eligible to participate in the Promotion. In the event an ineligible person should attempt to receive a prize, the winning entry for the prize shall be deemed void and the prize forfeited.

30. Colonial Downs Group reserves the right to substitute a cash prize for a retail prize. Substitution will be of greater or equal cash value of original prize.

31. DISPUTES, GOVERNING LAW AND VENUE: THE PROMOTION AND THESE OFFICIAL RULES ARE GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE COMMONWEALTH OF VIRGINIA, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN RICHMOND, VIRGINIA. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT SHALL THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC., IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF (“JAMS RULES”). THE JAMS RULES FOR SELECTION OF AN ARBITRATOR SHALL BE FOLLOWED, EXCEPT THAT THE ARBITRATOR SHALL BE EXPERIENCED AND LICENSED TO PRACTICE LAW IN VIRGNIA. ALL PROCEEDINGS BROUGHT PURSUANT TO THIS PARAGRAPH WILL BE CONDUCTED IN THE CITY OF RICHMOND, VIRGNINA. EACH ENTRANT AGREES THAT THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER (AND HERBY WAIVES THE ALL RIGHTS TO CLAIM) PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEYS’ FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF. EXCEPT WHERE PROHIBITED, YOU AGREE THAT ANY AND ALL DISPUTES, CLAIMS AND/OR CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE PROMOTION OR ANY PRIZE SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION.

32. PUBLICITY: EXCEPT WHERE PROHIBITED BY LAW, ENTRANTS, BY PARTICIPATING IN THIS PROMOATION, GRANT TO COLONIAL DOWNS GROUP (WHICH GRANT WILL BE CONFIRMED IN WRITING ON REQUEST), AND THOSE ACTING PURSUANT TO THEIR AUTHORITY, THE RIGHT AND PERMISSION TO PRINT, PUBLISH, BROADCAST, AND USE, WORLDWIDE IN ANY MEDIA NOW KNOWN OR HEREAFTER DEVELOPED, INCLUDING BUT NOT LIMITED TO THE WORLD WIDE WEB, AT ANY TIME OR TIMES, EACH WINNER’S NAME, PORTRAIT, PICTURE, VOICE, LIKENESS, ENTRY, FOOTAGE (IF APPLICABLE) AND BIOGRAPHICAL INFORMATION FOR ADVERTISING, TRADE, AND PROMOTIONAL PURPOSES (INCLUDING THE ANNOUNCEMENT OF HIS OR HER NAME ON ANY MEDIA) WITHOUT ADDITIONAL CONSIDERATION, COMPENSATION, PERMISSION, OR NOTIFICATION.

33. RELEASE AND LIMITATIONS OF LIABILITY: By participating in this Promotion, Entrants agree (and agree to confirm in writing if requested) to release, indemnify and hold harmless Colonial Downs Group, its parents, subsidiaries and affiliates, and their respective officers, directors, employees, representatives and agents (“Released Parties”) from any and all damage, loss, claim or liability for any: (i) act, failure to act, delay, or error relating to the transmitting or processing of Entries or awarding of prizes; (ii) lost, stolen, delayed, damaged or misdirected Entries or for any failure, problems or technical malfunction of any website, person, telephone network or lines, computer on-line systems, servers, access providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof; (iii) incorrect or inaccurate information, whether caused by Entrant, errors or by any of the personnel, equipment, hardware, software or programming associated or used with the Promotion; (iv) conditions caused by events beyond the control of the Released Parties that may cause the Promotion to be disrupted or corrupted; (v) awarding, receipt, acceptance, use, or misuse of any prize awarded to Entrant in the Promotion, including any item redeemed therewith or from Entrant’s participation in the Promotion; (vi) printing or typographical errors in any materials relating to the Promotion; or (vii) costs, injuries, losses, liabilities or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Promotion or any Promotion-related activity.

35. To obtain a copy of any legally required winner’s list, send a self-addressed stamped envelope to: Colonial Downs Group, Spring Pick ‘Em Classic Winners, 800 E. Canal Street Suite 1901, Richmond, VA 23219. All such requests must be received within six (6) weeks after the Promotion ends.
